WOOD & Company advised Shoper S.A., the owner of Poland's most popular e-commerce platform for running online shops using the software-as-a-service ( SaaS) model, on its debut on the Main Market of the Warsaw Stock Exchange on 9 July. Last week, the company completed its IPO successfully – the value of the offering amounted to PLN 363m  (EUR 80m).

Shoper is a B2B software company, the leader in delivering SaaS solutions for online stores in Poland. The company offers a one-stop shop for e-commerce, providing e-store software and merchant solutions, including online marketing, payment solutions, logistics, SEO, an app store, and others.

A significant share of services is offered on the pay-as-you-grow model, which allows Shoper to grow together with its merchants. In 2020, the company offered its platform to over 20k merchants, which generated a gross merchandise value (GMV) of over PLN 5bn (c.EUR 1.1bn). The company generated PLN 47m (EUR 11m) in revenues and PLN 22m (EUR 5m) in EBITDA in 2020, representing yoy growth of 69% and 104%, respectively.

“Our stock market debut and joining the group of companies listed on the Warsaw Stock Exchange is the culmination of many months of preparations and a successful public offering of shares. Interest in our offering was at a very high level from both institutional and individual investors. I would like to, once again, thank our advisors, whose work contributed to this positive outcome, and the investors who made the decision to join our shareholding. We are the platform of first choice in Poland for entrepreneurs deciding to start their business in the e- commerce segment in the SaaS model, but our ambitions do not end here. The implementation of our announced strategy will contribute to further strengthening of our leading position in terms of the number of supported shops, and will allow us to target our offer to completely new customers, also on foreign markets,“ commented Marcin Kuśmierz, Shoper’s CEO.

The WOOD & Co. team was led by Jarosław Deryło, Nick Kaufmann, Przemysław Błogowski, Bartosz Balcarek and Wojciech Krajewski on the investment banking side, Marta Jeżewska-Wasilewska, Maria Mickiewicz and Łukasz Wachełko on the equity research side, Kristen Andrasko, Grzegorz Skowroński and Jarek Tomczyński on the institutional equity sales front, and Petr Musil in operations.
